服务条款 Terms of Service

Onside 同场（“Onside”“平台”或“服务”）由 Digital Cash Cowboy Inc.（“我们”）运营，适用于 Onside 网站、iOS/Android 应用及相关服务。创建账户、访问或使用服务，即表示你已阅读并同意本条款及隐私政策。如果你不同意，请勿使用服务。

Onside (the “Platform” or “Service”) is operated by Digital Cash Cowboy Inc. (“we,” “us,” or “our”). These Terms apply to the Onside website, iOS and Android apps, and related services. By creating an account, accessing, or using the Service, you agree to these Terms and the Privacy Policy. Do not use the Service if you do not agree.

You must be at least 18, legally capable of entering a contract, and not prohibited by us from using the Service. Provide accurate, complete, current information; do not impersonate others, transfer accounts, or create misleading accounts. You are responsible for your device, sign-in links, verification codes, and account activity, and must promptly report unauthorized use. A display name does not mean we verified legal identity. A “verified venue” badge reflects only the limited checks described for that badge and is not an endorsement or guarantee.

Onside 提供发现运动、发布空闲时间、寻找搭子、创建或申请活动、场馆发布、聊天和分享等技术工具。除非另有明确书面说明，我们不是活动组织者、参与者、雇主、代理人、场馆、教练、医疗人员、运输方、付款处理商或保险人。用户和场馆独立决定是否见面、接受申请、提供场地或履行安排。我们不保证用户身份、水平、行为、活动质量、场地可用性、天气、出席、匹配结果或线下交易。

Onside provides technology for discovering sports, posting availability, finding partners, creating or applying to activities, venue posts, chat, and sharing. Unless expressly agreed in writing, we are not an organizer, participant, employer, agent, venue, coach, medical provider, transportation provider, payment processor, or insurer. Users and venues independently decide whether to meet, accept participants, provide space, or honour arrangements. We do not guarantee identity, skill, conduct, activity quality, venue availability, weather, attendance, matching results, or offline transactions.

活动发起人必须如实说明时间、地点、运动、人数、水平、费用、装备、取消条件和重要风险；有权发布相关地点或预订信息；合理处理申请、候补、取消和退款；不得虚报空位或利用活动进行欺诈、骚扰或未经披露的商业招揽。发起人应确认场地许可、预订和参与规则，并及时通知重大变化。

Hosts must accurately describe time, location, sport, capacity, skill expectations, fees, equipment, cancellation terms, and material risks; have authority to publish venue or booking information; reasonably manage applications, waitlists, cancellations, and refunds; and never misrepresent availability or use an activity for fraud, harassment, or undisclosed commercial solicitation. Hosts must confirm venue permissions, bookings, and participation rules and promptly communicate material changes.

参加运动、前往场地及与陌生人见面存在受伤、疾病、碰撞、财产损失和人身安全等固有风险。你自行决定是否参加，并负责评估发起人、其他参与者、地点、天气、自身健康、能力、装备、交通和所需保险；遵守法律、场馆和活动规则；在不安全时停止活动。Onside 不是紧急、医疗或安保服务。紧急情况请立即联系 911 或当地应急机构。

Sports, travel to venues, and meeting people involve inherent risks, including injury, illness, collision, property loss, and personal safety risks. You decide whether to participate and are responsible for assessing the host, participants, location, weather, your health and ability, equipment, transportation, and insurance; following law and venue/activity rules; and stopping when unsafe. Onside is not an emergency, medical, or security service. Contact 911 or local emergency services in an emergency.

代表场馆或商家使用服务的人声明其有权代表该主体，并应核对自动带入的名称、地址和位置，保持营业时间、价格、空位和预订信息准确。地点搜索由 Google Maps Platform 提供，相关 Google 内容受 Google Maps/Google Earth Additional Terms 和 Google Privacy Policy 约束。地图、公共数据、营业时间或第三方预订资料可能延迟、不完整或变化；“营业中”不等于“有场地可订”。除非明确标注为场馆确认或与预订系统实时同步，用户必须直接向场馆核实。

Anyone using the Service for a venue or business represents that they are authorized to act for it, must verify automatically populated names, addresses and locations, and must keep hours, pricing, openings, and booking details accurate. Place search is provided by Google Maps Platform; related Google content is subject to the Google Maps/Google Earth Additional Terms and Google Privacy Policy. Maps, public data, hours, and third-party booking information may be delayed, incomplete, or changed. “Open” does not mean a court is available. Unless marked as venue-confirmed or live-synced with a booking system, users must verify directly with the venue.

当前版本可能允许用户说明线下分摊费用，但除非结账页面另有说明，Onside 不代收活动或场馆费用，也不是用户之间付款的一方。付款前应确认收款人、币种、价格、税费、退款和取消条件。线下付款争议由相关用户或场馆处理。未来如提供付费功能，我们会在购买前显示价格、续订、退款及附加条款；App Store 或其他支付平台规则亦可能适用。你负责依法申报自己的收入和税款。

The current version may let users describe offline cost sharing, but unless checkout states otherwise, Onside does not collect activity or venue charges and is not a party to payments between users. Before paying, confirm the recipient, currency, price, taxes, refund, and cancellation terms. The relevant users or venue handle offline payment disputes. If paid features are introduced, price, renewal, refund terms, and additional conditions will be shown before purchase; App Store or other payment-platform rules may also apply. You are responsible for your own reporting and taxes.

你保留对自己发布的文字、照片、场馆资料、活动和消息（“用户内容”）的所有权。你声明拥有发布及授权所需权利，并授予我们一项非独占、全球、免版税、可转授权的许可，仅用于托管、复制、格式化、传输、展示、审核、保护、运营和改进服务，以及推广你明确设为可公开分享的内容。该许可在内容删除后终止，但备份、已分享副本、法律保存和此前合理使用除外。你提供的产品意见可由我们无偿用于改进服务。

You retain ownership of text, photos, venue details, activities, and messages you post (“User Content”). You represent that you have the rights needed to post and license it. You grant us a non-exclusive, worldwide, royalty-free, sublicensable licence only to host, copy, format, transmit, display, moderate, protect, operate, and improve the Service, and to promote content you expressly make publicly shareable. The licence ends when content is deleted, except for backups, copies already shared, legal retention, and prior reasonable uses. We may use product feedback without compensation to improve the Service.

用户可举报或拉黑账户。我们可但无义务主动监控内容；可调查、保留证据、移除内容、限制可见性或功能、取消活动、暂停或终止账户，并采取我们为安全、合规或保护服务所合理认为必要的措施。我们可在法律要求、有效法律程序或紧迫生命安全风险下向有关机构披露信息。我们不保证在特定时间内解决所有举报，也不负责调解私人争议。恶意或虚假举报本身可能违反条款。

Users may report or block accounts. We may, but are not required to, proactively monitor content. We may investigate, preserve evidence, remove content, limit visibility or features, cancel activities, suspend or terminate accounts, and take steps reasonably necessary for safety, compliance, or protection of the Service. We may disclose information when required by law, valid legal process, or an imminent threat to life or safety. We do not guarantee resolution of every report within a particular time and do not arbitrate private disputes. Malicious or knowingly false reports may violate these Terms.

我们依照隐私政策处理个人信息。你同意接收登录验证码、账户安全、活动变更、申请、消息和服务管理等必要通信。若未来发送营销信息，我们将依法取得所需同意并提供退订方式。移动运营商或邮箱服务商的费用和规则可能适用。

We handle personal information under the Privacy Policy. You agree to receive necessary communications for verification codes, account security, activity changes, applications, messages, and service administration. If we send marketing messages in the future, we will obtain required consent and provide an unsubscribe method as required by law. Carrier or email-provider charges and rules may apply.

服务的软件、设计、品牌、商标、图形及非用户内容归我们或许可方所有。我们授予你一项有限、可撤销、不可转让、非独占的许可，仅供个人或经批准的场馆业务按照本条款使用服务。未经书面许可，不得复制品牌、出售访问权、建立衍生服务或以暗示我们赞助的方式使用 Onside 名称和标识。

The Service software, design, branding, trademarks, graphics, and non-user content belong to us or our licensors. We grant you a limited, revocable, non-transferable, non-exclusive licence to use the Service only personally or for an approved venue business under these Terms. Without written permission, you may not copy branding, sell access, create derivative services, or use the Onside name or marks in a way that implies sponsorship.

服务可能链接地图、社交平台、场馆网站、支付、登录、短信、邮箱或其他第三方服务。第三方拥有自己的条款和隐私政策，我们不控制其内容、可用性或行为。链接或集成不代表认可。你与第三方之间的交易由你和该第三方负责。

The Service may link to maps, social platforms, venue sites, payment, sign-in, SMS, email, or other third-party services. Third parties have their own terms and privacy policies, and we do not control their content, availability, or conduct. A link or integration is not an endorsement. Transactions with third parties are between you and them.

我们可更新、暂停或停止部分服务，包括为维护、安全、法律或商业原因。你可在应用内删除账户。若我们合理认为存在违规、安全风险、欺诈、法律要求或对平台造成损害，我们可立即限制或终止访问。终止后，按性质应继续有效的付款义务、内容许可例外、免责声明、责任限制、赔偿和争议条款仍然有效。

We may update, suspend, or discontinue parts of the Service for maintenance, safety, legal, or business reasons. You may delete your account in the app. We may immediately restrict or terminate access where we reasonably believe there is a violation, safety risk, fraud, legal requirement, or harm to the Platform. Obligations concerning payment, surviving content-licence exceptions, disclaimers, liability limits, indemnity, and disputes survive where their nature requires.

在适用法律允许的最大范围内，服务按“现状”和“可用状态”提供，不提供明示、默示或法定保证，包括适销性、特定用途适用性、所有权、不侵权、准确性、持续可用性或安全性的保证。我们不保证匹配、活动、用户、场馆、消息、第三方数据或服务没有错误或风险。部分地区不允许排除某些保证，因此这些排除可能不完全适用于你；任何法律不得排除的消费者权利不受影响。

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available,” without express, implied, or statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, continuous availability, or security. We do not promise that matches, activities, users, venues, messages, third-party data, or the Service will be error-free or risk-free. Some jurisdictions do not allow certain exclusions, so they may not fully apply to you; mandatory consumer rights remain unaffected.

在法律允许的最大范围内，我们及关联方不对因服务、用户、活动、场馆、线下见面或第三方服务产生的间接、附带、特殊、惩罚性或后果性损失，或利润、数据、商誉、机会、人身或财产损失承担责任，即使已被告知可能发生。对于与服务有关的全部索赔，我们的累计责任不超过以下较高者：(a) 你在索赔发生前 12 个月向我们实际支付的金额；或 (b) 100 加元。本限制不适用于欺诈、故意不当行为、重大过失或法律禁止限制的责任。

To the fullest extent permitted by law, we and our affiliates are not liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, data, goodwill, opportunity, person, or property arising from the Service, users, activities, venues, offline meetings, or third-party services, even if advised of the possibility. Our aggregate liability for all claims relating to the Service will not exceed the greater of (a) amounts you actually paid us in the 12 months before the claim, or (b) CAD $100. This limit does not apply to fraud, wilful misconduct, gross negligence, or liability that law prohibits us from limiting.

在法律允许的范围内，你同意赔偿并使我们及关联方免受因你的用户内容、活动、场馆发布、线下行为、违反本条款、侵犯他人权利或违法行为而产生的第三方索赔、损失、责任和合理费用。我们将合理通知你，并可控制抗辩；未经我们书面同意，你不得达成使我们承担义务或承认责任的和解。本条不要求消费者赔偿因我们自身行为依法应承担的责任。

To the extent permitted by law, you agree to indemnify us and our affiliates against third-party claims, losses, liabilities, and reasonable costs arising from your User Content, activity, venue post, offline conduct, breach of these Terms, infringement of another’s rights, or unlawful conduct. We will provide reasonable notice and may control the defence. You may not settle in a way that imposes obligations or admissions on us without written consent. This clause does not require a consumer to indemnify us for liability legally attributable to our own conduct.

本条款受加拿大不列颠哥伦比亚省法律及适用的加拿大联邦法律管辖，不适用法律冲突规则。双方应先通过 admin@cashcowboy.net 善意尝试解决争议；未解决的争议由位于不列颠哥伦比亚省温哥华的法院非专属管辖。你所在地不得放弃的消费者保护和提起争议的权利不受影响。

These Terms are governed by the laws of British Columbia and applicable federal laws of Canada, without regard to conflict-of-law rules. The parties will first try in good faith to resolve disputes through admin@cashcowboy.net. Unresolved disputes are subject to the non-exclusive jurisdiction of courts located in Vancouver, British Columbia. Mandatory consumer protections and rights to bring a dispute in your home jurisdiction remain unaffected.

我们可能更新本条款以反映功能、法律或运营变化，并会更新生效日期。重大变更会通过应用、网站、账户邮箱或其他合理方式通知。除法律另有要求外，在生效日后继续使用服务即表示接受更新；若不同意，应停止使用并删除账户。发送至你账户所关联邮箱或应用内通知的电子通知视为有效通知。

We may update these Terms for product, legal, or operational changes and will revise the effective date. Material changes will be communicated through the app, website, account email, or another reasonable method. Unless law requires otherwise, continued use after the effective date means acceptance; if you disagree, stop using the Service and delete your account. Electronic notices sent to your account email or in-app are valid notices.

本条款与隐私政策及购买时显示的附加条款构成双方关于服务的完整协议。条款部分无效不影响其余部分；我们未立即执行不构成放弃；未经我们同意你不得转让本协议，我们可在重组、融资、并购或资产转让时依法转让。标题仅为阅读方便。中英文文本均为方便用户理解；如两者不一致，在法律允许范围内以英文文本为准。

These Terms, the Privacy Policy, and any additional terms shown at purchase form the entire agreement about the Service. If part is unenforceable, the remainder continues; delay in enforcement is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a lawful restructuring, financing, merger, or asset transfer. Headings are for convenience. Chinese and English are provided for accessibility; if they conflict, the English version controls to the extent permitted by law.
